Introduction
Grand Towers Limited is an investment holding company with a broad range of interests in banking, Pension, fintech, finmarket, hospitality and real estate. It has an administrative team based in Lagos and Abuja with the mandate to oversee and manage its operational activities. GTL has a Board of Directors which meets every quarter to review the performance of the company and provide guidance to management. The Board has a number of committees that interface with management. These are the Investment Committee, the Audit Committee and the Governance Committees. Grand Towers seeks the services of a HOPs to oversee the operational aspects of its portfolio companies.
The preferred candidate should have a BSc in Finance, Economics, Accounting or a related area. A masters in the aforementioned areas would be an advantage but not a requirement. At least 5-10 years post NYSC experience, preferably with a manufacturing entity, a financial institution or a real estate company. Professional qualification as a chartered accountant or an associate of the chartered institute of stockbrokers will be an advantage. The HOPs will liaise with the management of GTLs portfolio companies to ensure the requisite targets are being delivered on. This ToR outlines the activities that are expected in this role.
Scope of Responsibilities
Projects Under Construction – GTLs portfolio includes assets that are either under construction or yet to commence construction. Some of the assets may require periodic upgrades in order to enhance operating capacity. The HOPs will supervise and guide management on the appropriate steps to be taken in completing or commencing the projects as required.
Projects In Operations – GTLs assets in operation will require the HOPs to request and receive periodic reports from managers on the status of the targets that are expected to be delivered. The HOPs would be required to provide guidance to management of the subsidiaries and ensure compliance with statutory requirements.
Board Meetings of Portfolio Companies – the HOPs may need to participate in Board meetings of the subsidiary companies or attend AGMs. The HOPs would use the outcomes of the meetings to guide decision making.
Financial Statements – the HOPs will ensure the preparation and review of subsidiary financial statements. The role will also include the preparation of project budgets and determine appropriate means of financing.
Project Due Diligence – Periodic supervision visits to subsidiaries will be required. The HOPs also being responsible for assessment of the quality of management at the subsidiaries. This may require making recommendations on changes to enhance the output of the companies.
Tasks
1. Preparation of status reports on projects under construction for discussion and review with management.
2. Review of the terms of funding for subsidiaries ensuring compliance with terms.
3. Review of the financial status of subsidiaries, in association with the SIO to determine appropriate steps to enhance value for money for GTL.
4. Development of operational guidelines for GTL and its subsidiaries and ensure the guidelines are complied with.
5. Development of operational strategies for GTLs, taking into account the needs of the subsidiaries
The HOPs will report to the Chief Executive Officer and rely on input from the SIO and the project managers at the subsidiaries.
Output
1. Preparation of monthly and quarterly reports on GTLs operations
2. Preparation of project or company specific reports that provide guidance to management and board on the condition of GTLs operations.
